Terms of service.
1. Introduction
1.1. These terms and conditions ("Terms") govern all contracts between Lesta Packaging PLC ("Seller" or "Company") and you ("Buyer"). These Terms constitute the complete and exclusive terms of each contract, and no variation in any documents from the Buyer, including but not limited to any letter, receipt acknowledgment, or other form, shall be effective unless expressly agreed to in writing by the Seller. By opting to submit your credit application electronically, you acknowledge that you have read, understood, and agree to our standard terms and conditions, which are legally binding and apply to all sales made.
2. Prices
2.1. All prices for the goods are in pounds Sterling and include Value Added Tax ("VAT") at the relevant rate on the date of dispatch.
2.2. Prices displayed on the Seller's website at the time of purchase are applicable. While every effort will be made to maintain prices, the Seller reserves the right to alter prices without prior notice.
2.3. The Seller reserves the right to increase quoted prices for bespoke items not listed for sale on the website if there is an increase in costs between the date of order and dispatch. This includes any exchange rate changes.
2.4. Additional charges may apply for expedited delivery, overtime, or extra work requested by the Buyer.
3. Delivery
3.1. Same-day dispatch, Monday to Friday, is typically achieved for orders received before 1 pm. Saturday delivery service is available for orders received before 1 pm the previous day, subject to additional charges.
3.2. Any delivery date provided by the Seller is an estimate only, and while efforts will be made to comply, the Seller shall not be liable for late delivery due to circumstances beyond reasonable control.
4. Estimates
4.1. Estimates provided by the Seller are valid for acceptance in writing by the Buyer within 7 days. Prices for bespoke print-related orders are subject to final artwork approval and available production capacity.
4.2. In case of order cancellation by the Buyer, the Seller is entitled to payment for work already completed, materials ordered, and other additional costs incurred.
5. Proofs & Origination
5.1. Additional charges may apply for corrections to artwork supplied by the Buyer and any subsequent proofs necessitated by such corrections.
5.2. The Seller accepts no responsibility for errors in proofs not corrected by the Buyer.
5.3. While efforts are made to ensure accuracy, variations in equipment, paper, inks, and other conditions may result in acceptable variations in color between proofs and the completed job.
6. Delivery & Payment
6.1. Orders placed before credit facilities are offered are accepted on a pro-forma basis, unless otherwise agreed in writing.
6.2. The Buyer is primarily liable for all sums due to the Seller, irrespective of acting as principal or agent.
6.3. Late payment may incur interest at a rate of 4% per week from the due date.
6.4. For orders over £500, a 50% non-refundable payment may be required at the time of order placement.
7. Returns & Guarantees
7.1. Orders for bespoke products will be charged in full unless written notice is provided at least two weeks prior to the expected delivery date, provided manufacture has not commenced.
7.2. Returns for stock items are accepted within 14 days if the product is faulty, incorrect, or unused and undamaged in the original packaging.
7.3. Machinery guarantees are subject to the manufacturer's terms and may involve 'back to base' service.
8. Risk
8.1. All goods are at the Buyer's risk upon delivery or attempted delivery at the agreed location.
9. Retention of Title
9.1. Goods remain the property of the Seller until payment of all sums due from the Buyer has been received in full.
9.2. The Seller reserves the right to reclaim goods if the Buyer breaches payment terms or if the Seller reasonably believes its property is in jeopardy.
10. Your Order
10.1. The Seller reserves the right to substitute goods within an order with equivalent alternatives.
10.2. Buyers must return substituted goods within 7 days if they do not wish to accept them.
11. Password & Security
11.1. Buyers are responsible for maintaining the confidentiality of their password and account details.
11.2. Buyers must immediately notify the Seller of any unauthorized use of their password or account.
12. Disclaimer
12.1. The Seller provides the website and its contents on an "as is" basis and makes no representations or warranties of any kind.
12.2. The Seller does not guarantee the accuracy, completeness, or currency of information accessible via the website.
13. Consequential Loss
13.1. The Seller shall not be liable to the Buyer for any indirect or consequential loss or damage.
14. Right of Recission
14.1. The Seller may rescind any contract or suspend delivery if the Buyer breaches any term of the contract or faces insolvency.
15. Force Majeure
15.1. The Seller shall not be liable for failure to perform the contract due to circumstances beyond its control.
16. Contact with Delicate Substances
16.1. Buyers are responsible for ensuring that goods supplied are suitable for use with delicate substances and indemnifying the Seller against any claims arising from adverse effects.
17. Size of Materials
17.1. Sizes referred to on the website are approximate unless specific warranties for accurate sizes are provided in writing.
18. Law
18.1. These Terms and all other terms of the contract constitute the entire agreement between the Seller and the Buyer. They are governed by English law and subject to the exclusive jurisdiction of English courts.
